UNSECURED REVENUE-BACKED DEBENTURE
ERP Champions Limited
1. PURPOSE OF FACILITY
This Private Placement Memorandum outlines the terms under which ERP Champions Limited (the "Company") shall issue up to $300,000 USD in unsecured, revenue-linked debentures. Capital from Tranche A ($60,000) shall be deployed directly into regional implementation hiring and Vertical IP module development.
2. THE REVENUE SWEEP MECHANIC (PRO-RATA)
The Company shall algorithmically sweep a maximum of 8.0% of Top-Line Gross Revenue, verified via the Uganda Revenue Authority (EFRIS) API, into a designated Escrow Wallet. During Tranche A, the effective pro-rata sweep shall be 1.6%. Payouts shall be executed automatically to the debenture holders' registered digital wallets.
3. THE RETURN CAP & MATURITY
This is a zero-equity, non-interest-bearing (Shariah-aligned) instrument. All capital is returned purely via the revenue sweep until the holder receives a total sum equal to 2.0x their initial commitment. The statutory maturity limit of the facility is 10 years, though natural scale projections model an earlier exit.
4. SECONDARY MARKET (LOCK-UP PERIOD)
To preserve primary capital formation and protect unit pricing, units purchased in Tranche A are locked from secondary OTC trading until Tranche A is 100% subscribed, after which units may be listed on the Sukuk Digital terminal for early liquidity transfer to retail verified buyers.
5. GOVERNANCE & REGULATORY COMPLIANCE
Sukuk Digital is an enterprise software platform providing Investor Relations (IR) suites and governance automation. It is not a registered broker-dealer or stock exchange. Placements are conducted directly by ERP Champions under private placement exemptions within applicable corporate legislation.
